Terms of Service
These Terms of Service (“Terms”) govern your use of shoparab.shop and any services provided by Zafire LLC, a Wyoming limited liability company (“Zafire”, “we”, “us”). By using the Site or engaging our services, you agree to these Terms.
1. Services
We provide digital marketing services such as paid advertising management, social media management, content and creative production, landing page and e-commerce store design, SEO basics, and email marketing. The exact scope of any engagement is defined in a written proposal or statement of work (“Proposal”).
2. Quotes and proposals
Quotes are free and non-binding until you accept the Proposal in writing (including by email). The Proposal sets out deliverables, timeline, fees, and any recurring charges. If the Proposal conflicts with these Terms, the Proposal controls for that engagement.
3. Fees and payment
Payments are made against invoices issued by Zafire LLC, in the currency and by the method stated on the invoice. There are no hidden fees: all fees are stated in the Proposal or invoice. Unless agreed otherwise, invoices are due within 7 days. Advertising budgets are paid by you directly to advertising platforms or, if agreed, passed through at cost and shown separately. Work may be paused for overdue invoices.
4. Client responsibilities
- Provide accurate information, timely feedback, and the access needed (e.g., ad accounts, website logins).
- Ensure that materials you provide (logos, images, text, product claims) are lawful and that you have rights to use them.
- Comply with advertising platform policies and applicable laws, including consumer protection and privacy laws for your own customers.
5. Intellectual property
Upon full payment, you own the final deliverables created specifically for you, unless the Proposal states otherwise. We keep ownership of our pre-existing tools, templates, and know-how, and grant you a license to use them as part of the deliverables. Third-party assets (fonts, stock media, plugins) remain subject to their own licenses. With your permission only, we may reference the work in our portfolio.
6. No guarantee of results
Marketing outcomes depend on factors outside our control, including platform algorithms, competition, your product, and market conditions. We do not guarantee any specific results, such as sales, revenue, return on ad spend, rankings, or follower counts. We commit to performing the agreed services with reasonable skill and care.
7. Confidentiality
Each party will keep the other’s non-public information confidential and use it only for the engagement.
8. Limitation of liability
To the maximum extent permitted by law, Zafire’s total liability arising from any engagement is limited to the fees you paid to Zafire for that engagement in the three (3) months before the claim. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or actions taken by third-party platforms (such as account suspensions or ad rejections).
9. Termination and cancellation
Monthly / recurring services: Recurring services (such as monthly ad or social media management) can be cancelled at any time with written notice by email to zemmatofficial@gmail.com. Cancellation takes effect at the end of the current billing period, and you will not be charged for following periods. This is consistent with our Refund & Cancellation Policy.
One-time projects and other engagements: Either party may terminate with written notice as described in the Proposal, or with 14 days’ written notice if none is stated.
Fees for work performed up to termination remain payable. Refunds are handled under our Refund & Cancellation Policy.
10. Use of the Site
You agree not to misuse the Site, attempt unauthorized access, or submit unlawful content. Site content is provided for general information.
11. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. We encourage you to contact us first so we can try to resolve any dispute informally within 30 days. If not resolved, disputes will be brought in the state or federal courts located in Wyoming, unless applicable consumer law gives you the right to bring proceedings elsewhere.
12. Changes
We may update these Terms; the version in effect when you accept a Proposal applies to that engagement.
